Creator Terms & Conditions

Welcome to the Assisters Creator Program. These Creator Terms and Conditions ("Creator Terms") govern your participation as a Creator on the Assisters platform operated by Assisters, LLC("Assisters," "we," "us," or "our"). By applying to become a Creator or publishing Assisters on our platform, you agree to be bound by these Creator Terms in addition to our general Terms of Service.

Important: You must accept these Creator Terms during the Creator application process. Continued use of Creator features constitutes ongoing acceptance of these terms.

1. Creator Program Overview

The Assisters Creator Program allows approved individuals and organizations to create, publish, and monetize AI Assisters on our marketplace. As a Creator, you can build Assisters trained on your expertise, knowledge, and unique capabilities, and earn revenue when users interact with your published Assisters.

Program Benefits Include:

Access to Creator Studio with advanced Assister creation tools
Revenue sharing on all paid interactions with your Assisters
Analytics dashboard to track performance and earnings
Promotional opportunities on the Assisters marketplace
Direct wallet payouts and withdrawal capabilities

2. Eligibility Requirements

To Become a Creator, You Must:

Have an active Assisters account in good standing
Be at least 18 years old or the age of majority in your jurisdiction
Provide accurate identity and payment information for verification
Complete and submit a Creator application
Accept these Creator Terms during the application process
Comply with all applicable laws and tax regulations

Application Review

All Creator applications are reviewed by our team. We evaluate applications based on the quality of proposed Assisters, potential value to users, and alignment with our platform guidelines. We reserve the right to approve or reject any application at our sole discretion.

3. Revenue Sharing

Revenue Split Agreement

When users pay to interact with your published Assisters, the revenue is split as follows:

Platform Share

Infrastructure & AI costs

The Platform Share covers AI model costs (tokens, compute), infrastructure (servers, databases), payment processing fees, platform development, support, and operational expenses.

How Revenue is Calculated

Revenue is calculated based on the actual payments received from users for interactions with your Assisters. This includes:

Pay-per-message interactions from subscription users exceeding their limits
Token usage fees from users on pay-as-you-go plans
Premium feature access tied to your Assisters

Revenue does not include free-tier usage, promotional credits, or refunded transactions.

Example Calculation

If your Assister generates $100 in user payments:

You receive: $100 × 35% = $35.00
Platform retains: $100 × 65% = $65.00

Revenue Share Modifications

We reserve the right to modify the revenue share percentages with 30 days written notice. Any changes will not affect revenue already earned prior to the change. If you do not accept modified terms, you may withdraw from the Creator Program.

4. Payments and Payouts

Wallet System

All Creator earnings are credited to your Assisters Wallet. Your wallet balance is updated in real-time as users interact with your Assisters. You can view your earnings, transaction history, and analytics in the Creator Studio dashboard.

Withdrawal Options

Bank Transfer: Direct deposit via Stripe Connect
PayPal: Transfer to your PayPal account
Platform Credits: Keep funds in wallet for platform services

Minimum Payout

Withdrawals require a minimum balance of $10. There are no fees for withdrawals to bank accounts. PayPal withdrawals may incur PayPal's standard fees.

Payout Schedule

Earnings are available in your wallet immediately after user payment confirmation
Withdrawal requests are processed within 3-5 business days
Bank transfers may take an additional 2-3 business days depending on your bank

Tax Obligations

You are solely responsible for reporting and paying all applicable taxes on your Creator earnings. For US-based Creators earning $600 or more annually, we are required to issue a Form 1099. You must provide accurate tax information (W-9 for US, W-8BEN for non-US) to receive payouts.

5. Creator Responsibilities

Content Quality

As a Creator, you agree to:

Create Assisters that provide accurate, helpful, and valuable information
Maintain and update your Assisters' knowledge bases regularly
Respond to user feedback and address quality issues promptly
Not create misleading, deceptive, or low-quality Assisters
Ensure your Assisters comply with our content guidelines

Intellectual Property

You represent and warrant that:

You own or have rights to all content used in your Assisters
Your Assisters do not infringe on any third-party intellectual property
You have the authority to license your content to the platform
You will not use copyrighted material without proper authorization

Compliance

You must comply with all applicable laws, regulations, and industry standards, including but not limited to consumer protection laws, data privacy regulations (GDPR, CCPA), and professional licensing requirements if your Assister provides advice in regulated fields (legal, medical, financial).

6. Prohibited Content and Activities

Creators may not create Assisters that:

Generate illegal, harmful, or dangerous content
Promote violence, discrimination, hate speech, or harassment
Provide unauthorized professional advice (medical, legal, financial) without proper disclaimers
Impersonate real individuals, companies, or organizations
Generate sexually explicit or adult content
Facilitate fraud, scams, or deceptive practices
Violate intellectual property rights or privacy
Circumvent platform safety measures or content moderation
Collect user data for unauthorized purposes
Artificially inflate usage metrics or earnings

7. License Grant

License to Assisters

By publishing Assisters on our platform, you grant Assisters a worldwide, non-exclusive, royalty-free license to:

Host, display, and distribute your Assisters on the platform
Process user queries through your Assisters
Promote and feature your Assisters in marketing materials
Create derivative works for platform improvements (e.g., search indexing)

Ownership

You retain ownership of your original content, knowledge bases, and Assister configurations. The license granted above does not transfer ownership and terminates when you remove your Assisters from the platform, except for any content already distributed or cached.

8. Platform Rights

Assisters reserves the right to:

Review, moderate, or remove any Assister at our sole discretion
Suspend or terminate Creator accounts for violations of these terms
Modify platform features, tools, and functionality
Set and enforce quality standards for published Assisters
Feature, promote, or demote Assisters based on quality and user feedback
Implement changes to the revenue share model with proper notice

9. Termination

Voluntary Withdrawal

You may leave the Creator Program at any time by removing your published Assisters and contacting support. Upon withdrawal:

Your Assisters will be unpublished from the marketplace
Earned wallet balance remains available for withdrawal
Pending earnings will be credited to your wallet
Your account reverts to standard user status

Termination by Assisters

We may terminate your Creator status immediately for:

Violation of these Creator Terms or our Terms of Service
Creating prohibited or harmful content
Fraudulent activity or manipulation of platform metrics
Repeated quality violations or user complaints
Legal or regulatory requirements

Effect of Termination

Upon termination for cause, we may withhold pending earnings and reverse any earnings obtained through violations. Termination does not affect users who have previously interacted with your Assisters or any data they may have shared.

10. Indemnification

You agree to indemnify, defend, and hold harmless Assisters, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from:

Your Assisters and the content they generate
Your violation of these Creator Terms
Your infringement of any third-party rights
Any claims by users related to your Assisters

11. Limitation of Liability

THE CREATOR PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE ANY MINIMUM EARNINGS, USER ENGAGEMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

To the maximum extent permitted by law, Assisters shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Creator Program, including lost profits, lost earnings, or loss of business opportunities.

Our total liability for any claims related to the Creator Program shall not exceed the total earnings paid to you in the twelve months preceding the claim.

12. Modifications to Terms

We may modify these Creator Terms at any time. For material changes (including changes to revenue share), we will provide at least 30 days notice via email and/or platform notification. Your continued participation after changes take effect constitutes acceptance of the modified terms.

If you do not agree to modified terms, you may withdraw from the Creator Program before the changes take effect.

13. Governing Law

These Creator Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in accordance with the dispute resolution procedures in our Terms of Service.
