Terms of Service

Welcome to Assisters. These Terms of Service ("Terms") govern your access to and use of the Assisters platform, website, and services (collectively, the "Services") operated byAssisters, LLC ("Assisters," "we," "us," or "our"). Please read these Terms carefully before using our Services.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

You must be at least 13 years old (or the applicable age of majority in your jurisdiction) to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

2. Description of Services

Assisters provides a platform that enables users to:

  • Create custom AI Assisters trained on personal knowledge bases
  • Deploy and embed AI Assisters on websites and applications
  • Discover and interact with AI Assisters created by other users
  • Monetize AI Assisters through our marketplace
  • Access analytics and manage conversations

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

3. User Accounts

Account Creation

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.

Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may also delete your account at any time through your account settings.

4. User Content

Your Content

You retain ownership of all content you upload, create, or share through our Services ("User Content"), including knowledge base documents, Assister configurations, and conversation data.

License Grant

By uploading User Content, you grant Assisters a worldwide, non-exclusive, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving our Services. For publicly published Assisters, you grant additional rights to display and promote your content on our platform.

Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to use and share your User Content
  • Your User Content does not violate the rights of any third party
  • Your User Content complies with all applicable laws and regulations

5. Payments and Billing

Subscription Plans

We offer various subscription plans with different features and usage limits. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase.

Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All payments are non-refundable except as required by law or as expressly stated in these Terms.

Usage-Based Charges

Certain features may incur usage-based charges (e.g., token consumption beyond your plan limits). You will be notified of any such charges before they are incurred.

Price Changes

We reserve the right to change our pricing at any time. Price changes will take effect at the start of your next billing cycle, and we will provide advance notice of any price increases.

6. Creator Terms

Revenue Sharing

If you publish Assisters on our marketplace, you earn revenue when users interact with your Assisters. Revenue sharing terms, including commission rates and payout details, are governed by our Creator Terms & Conditions. We reserve the right to modify revenue share terms with 30 days notice.

Payouts

Earnings are tracked in your wallet and can be withdrawn once you reach the minimum payout threshold. Payouts are processed through our payment partners and are subject to verification and applicable tax withholding requirements.

Creator Responsibilities

As a creator, you agree to:

  • Ensure your Assisters provide accurate and helpful information
  • Not use deceptive practices to inflate usage or earnings
  • Comply with all applicable laws regarding content and monetization
  • Respond to user feedback and maintain quality standards

7. Prohibited Uses

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including intellectual property rights
  • Upload or transmit malware, viruses, or harmful code
  • Create Assisters that generate illegal, harmful, or misleading content
  • Impersonate any person or entity or misrepresent your affiliation
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Engage in any activity that interferes with or disrupts the Services
  • Scrape, harvest, or collect information without permission
  • Use automated systems to access the Services in violation of our usage limits
  • Create content that promotes violence, discrimination, or hate speech
  • Generate or distribute CSAM or other exploitative content
  • Circumvent any content filtering or moderation measures

8. Intellectual Property

The Services and all associated intellectual property, including but not limited to trademarks, logos, software, and content created by Assisters, are owned by or licensed to Assisters. Nothing in these Terms grants you any right to use our intellectual property except as expressly permitted.

If you believe your intellectual property rights have been infringed, please contact us at legal@assisters.io with details of the alleged infringement.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Assisters may produce inaccurate or incomplete responses, and users should not rely on AI-generated content for critical decisions without verification.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSISTERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amounts you paid to us in the twelve months preceding the claim or (b) $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Assisters and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, USA, and the arbitrator's decision shall be final and binding.

Class Action Waiver

You agree that any disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative action.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Assisters regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any modifications indicates your acceptance of the updated Terms.
